Terms of Use

Planest — air charter marketplace

Version 1.0 · Effective from 3 September 2026

1. Who we are

Planest is an online marketplace for air charter, operated at planest.app. Until the operating company is registered, the platform is operated by Panteleimon Thomaidis, contact info@planest.app.

An Estonian private limited company (osaühing) is being established to operate Planest. On its registration, these terms and your agreement with us transfer to that company automatically, and its registration details will replace this clause. Nothing about your rights changes as a result. See clause 19.

“We”, “us” and “Planest” mean the operator described above. “You” and “member” mean the business using the platform, and any person using it on that business's behalf.

2. What Planest is — and what it is not

Planest is an intermediary. We provide a place where charterers, brokers and airlines can publish requests and availability, find each other, and communicate. We are not an air carrier, an operator, a broker, an agent, or a party to any charter or other agreement you enter into with another member.

We do not verify members, aircraft, licences or postings. Information on Planest is supplied by members. We do not check whether an operator holds a valid AOC, whether an aircraft exists or is airworthy, whether a stated capacity is accurate, or whether anyone is able to perform what they offer. Any verification, due diligence, contracting and insurance is entirely your responsibility, before you commit to anything.

We take no commission on business you conduct, and we do not handle payment between members.

3. Eligibility and business use

  • Planest is for business use only. It is not intended for consumers, and consumer protection rules for distance selling do not apply to your use of it.
  • You must be at least 18 and able to enter contracts on behalf of the business you register.
  • You must give accurate registration information and keep it up to date.
  • Where your activity requires a licence, authorisation or approval, holding and maintaining it is your responsibility.

4. Accounts and security

  • You are responsible for everything done through your account, and for keeping your credentials confidential.
  • Where your subscription allows additional users, you remain responsible for what they do.
  • Tell us promptly if you believe your account has been used without your authority.

5. Your postings and content

You keep ownership of what you publish — your company profile, aircraft details, requests, availability, images and messages (“your content”). You are responsible for it, and you confirm that you have the right to publish it and that it is accurate and not misleading.

Profiles and postings are public by design. The purpose of Planest is that other businesses see what you offer or need. Some information is visible to anyone, including people who are not signed in. Do not publish anything you are not willing to have seen publicly, and do not publish personal data about individuals beyond ordinary business contact details.

6. The licence you give us

So that we can operate and promote the platform, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt for formatting, publish and display your content, for as long as you keep it on Planest. Specifically, this licence lets us:

  • Show your content on Planest — including in search results, matching, notifications and promotional placements within the platform.
  • Use it in demonstration, tutorial and promotional material — including screenshots, recordings and images that may show your profile, aircraft and postings.
  • Republish it through other channels — including our website, social media accounts, newsletters and partner channels, to promote Planest and the opportunities on it.
  • Use it to develop and improve Planest, including training artificial-intelligence and machine-learning models that support matching, search, moderation and similar functions. Where such use is not necessary to provide the service to you, you may object by writing to us and we will exclude your content from it.

This licence ends for new uses when you delete the content or close your account, except that material already published in good faith — a recorded tutorial, an issued newsletter — need not be withdrawn, and we may keep copies as required by law or for backup.

Individuals. Where your content shows an identifiable person, you confirm you have their consent for it to be used as described above.

7. Identifying you as a customer

We may state that your business uses Planest, and use your name and logo for that purpose, on our website, in presentations and in marketing material. If you would rather we did not, write to us and we will stop — no reason is needed, and it will not affect your subscription in any way.

8. Acceptable use

You must not:

  • publish anything false, misleading, fraudulent or unlawful, or offer capacity you cannot provide;
  • infringe anyone's intellectual property, confidentiality or privacy;
  • publish anything defamatory, discriminatory, abusive or otherwise unacceptable;
  • scrape, harvest, copy or systematically extract data from Planest, whether by automated means or otherwise;
  • attempt to circumvent access controls, security or subscription limits, or use another member's account;
  • interfere with the operation of the platform, or introduce malicious code;
  • use member contact details for unrelated marketing, or in breach of data-protection law.

9. Subscriptions, the founding-member offer, and credits

  • Packages. Charterers may use Planest free of charge. Brokers and airlines subscribe to a package. What each package includes is described on the platform and may change as described in clause 12.
  • Founding-member offer. During the launch phase, a member who creates an account and confirms their e-mail address may receive a free period on the top package of their account type. Charterers currently receive three months. For brokers and airlines the length depends on how many members have joined before you, and is shown on the sign-up page on the day you join (currently twelve, six or three months). The period you receive, with its end date, is shown in your account under Subscription. Where we send a private invitation code for a special offer, the period stated on the code is the period you receive, from the date you redeem it; one code may be used once. We may end or change the offer for future members at any time, but we will honour every free period already given.
  • After the free period. We will tell you before it ends. When it ends, a broker or airline has no package until it chooses one, and a charterer continues on the free plan. Your account is not deleted because a free period expires.
  • Credits are used for promotions and advertising. They have no cash value, are not exchangeable for money, and are not refundable except where these terms or the law require it. Where a promotion is stopped early, unused days are refunded in credits as described on the platform.

10. Promotions and advertising

  • Promotions and advertisements must comply with clause 8 and with applicable advertising law.
  • We may refuse, remove or stop any promotion or advertisement whose content is unacceptable. Where we stop one you paid for, unused days are refunded in credits.
  • Placement, rotation and prominence are as described on the platform and are not guaranteed to produce any particular result.

11. Availability of the service

We work to keep Planest available and accurate, but we do not guarantee it will be uninterrupted or error-free. We may suspend it temporarily for maintenance, changes or reasons outside our control. We will give notice where we reasonably can.

12. Changes to the service, these terms, and prices

Changes to these terms. We may change them. We will give you at least 15 days' notice by email or through the platform before a change takes effect, stating what is changing. If you do not accept a change, you may end your subscription before it takes effect; continuing to use Planest after that means you accept it. Changes required by law, or which are to your benefit or purely clerical, may take effect sooner.

Changes to prices. A price change applies from your next renewal, never during a period you have already paid for, and we will tell you before it applies.

Changes to the service. We may add, alter or withdraw features. Where a change materially reduces what your package provides, clause 12 notice applies.

13. Suspension and termination

  • By you. You may stop using Planest and close your account at any time. Fees already paid for the current period are not refunded unless the law requires it.
  • By us. We may suspend or end your access where you materially breach these terms, where your use is unlawful or harmful to other members or to the platform, or where we are required to by law. Except where an immediate step is necessary, we will tell you the reason and give you an opportunity to put it right.
  • Effect. On termination your postings stop being published. Clauses which by their nature should survive — including 6, 14, 15, 16, 17 and 21 — do so.

14. Disclaimers

To the maximum extent permitted by law, Planest is provided “as is”. We do not warrant that any member is reputable or capable, that any posting is accurate, that any match is suitable, or that using Planest will produce business for you. Matching and search are aids to finding counterparties; they are not advice or a recommendation, and they do not replace your own judgement, checks and contracts.

15. Our liability

Nothing in these terms limits liability which cannot be limited by law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for intent or gross negligence.

Subject to that, and to the maximum extent permitted by law:

  • we are not liable for any agreement between you and another member, or for anything done or not done by another member, including any loss, damage, delay, injury, fraud or accident arising from it;
  • we are not liable for indirect or consequential loss, loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for loss or corruption of data;
  • our total liability to you for all claims arising in any twelve-month period is limited to the fees you paid us for Planest in that period. Where you pay nothing — as during a free founding-member period — that limit is zero.

16. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your content, your use of Planest in breach of these terms, or any dispute between you and another member.

17. Intellectual property

Planest, its software, design, database, name and logo belong to us or our licensors. Nothing in these terms transfers any of it to you. You may not copy, reproduce or create derivative works from the platform, except as ordinary use permits.

18. Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including failures of hosting or communications providers, strikes, natural events, epidemics, conflict, sanctions, or acts of government or aviation authorities.

19. Assignment

You may not transfer your rights under these terms without our consent. We may transfer ours — in particular, and as described in clause 1, to the Estonian company being established to operate Planest — provided your rights are not reduced.

20. General

  • If any provision is unenforceable, the rest continues in force.
  • Not enforcing a right at once does not waive it.
  • These terms, with the Privacy Policy and any package description, are the whole agreement between us about Planest.
  • Notices to you are given by email or through the platform; notices to us go to the contact address in clause 1.

21. Governing law and disputes

These terms are governed by the law of the operator's place of establishment, and its courts have exclusive jurisdiction, without prejudice to any mandatory right you may have to bring proceedings elsewhere. On registration of the Estonian company (clause 1), Estonian law and the Estonian courts apply.

We would always rather resolve a problem directly — please write to info@planest.app first.
